These GatherUs End User Terms (the “Terms” or the “EULA”) are a legally binding agreement between you, an individual using the GatherUs platform, and the following entity (“GatherUs”, “we”, “us”): if you reside in the European Economic Area, the United Kingdom or Switzerland — CIC International B.V., Stationsplein 45, 3013 AK Rotterdam, the Netherlands, registered with the Dutch Chamber of Commerce (KvK) under no. 65212142; otherwise — CIC Venture Cafe Global Institute, Inc., 1 Broadway, 14th Floor, Cambridge, MA 02142, USA. By creating an account, registering for an Event, or otherwise accessing or using the platform, you agree to these Terms. If you do not agree, do not use the platform.
1. WHAT GATHERUS IS — AND WHAT IT IS NOT
- GatherUs is a platform that event organisers (“Organisers”) use to organise, host and manage conferences, gatherings and other events (“Events”). Under these Terms, we give you access to the platform so that you can create and manage your account and profile, discover Events made available to you, register for and participate in Events, and use the platform’s communication and networking features (together, the “Platform”).
- Events are organised by Organisers, not by us. Each Organiser decides — in its sole discretion — who may register for, be admitted to, participate in, or be removed from its Events, and on what conditions. These Terms give you access to the Platform; they do not give you a right to be admitted to any particular Event. We are not responsible for any Event, for its content, conduct, cancellation or legality, or for any Organiser’s decisions about your participation.
- Organisers may adopt their own rules for an Event (admission conditions, a code of conduct, recording rules and similar — “Event Rules”) and may ask you to accept them when you register. Event Rules are an agreement between you and the Organiser only. If Event Rules conflict with these Terms, these Terms prevail with respect to your use of the Platform.
- Your use of the Platform is free of charge. We do not sell tickets or process payments between you and Organisers. If an Organiser charges for an Event, that is handled outside the Platform and is a matter between you and the Organiser, including any refunds.
2. YOUR ACCOUNT
- You must be at least sixteen (16) years old (or older where required by the law of your country of residence) to use the Platform. The Platform is not directed at children.
- You must provide accurate information when creating your account and keep it up to date. You are responsible for keeping your login credentials confidential and for activity under your account. Tell us promptly at [support e-mail] if you suspect unauthorised use.
- One account per person; accounts are personal and may not be shared or transferred.
3. LICENCE AND ACCEPTABLE USE
- We grant you a personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Platform for participating in Events and using the Platform’s features, in accordance with these Terms.
- You must not: (a) use the Platform for any unlawful purpose or in breach of these Terms; (b) harass, threaten, defame or abuse other users, or post content that is unlawful, infringing, obscene or hateful; (c) send spam or unsolicited commercial messages through the Platform; (d) upload malware or interfere with the security, integrity or performance of the Platform; (e) attempt to gain unauthorised access to the Platform or others’ accounts, or scrape, harvest or bulk-export data about other users; (f) copy, modify, reverse engineer or create derivative works of the Platform, except to the extent such restriction is prohibited by applicable law; (g) impersonate any person or misrepresent your affiliation; or (h) help anyone else do any of the above.
- The Platform and all associated intellectual property rights belong to GatherUs or its licensors. Except for the licence in clause 3.1, no rights are granted to you.
4. YOUR CONTENT
- You keep ownership of the content you submit to the Platform (profile information, messages, questions, materials — “User Content”). You grant us a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display and transmit your User Content solely as needed to operate and provide the Platform. This licence ends when your User Content is deleted from the Platform, except for backup copies retained for a limited period and content already shared with others (for example, messages you sent).
- When you register for or participate in an Event, the User Content and registration information you provide in the context of that Event is also made available to the relevant Organiser, who handles it under its own responsibility (see Section 5).
- You are responsible for your User Content. We may remove or disable User Content that violates these Terms or the law, and we will act on notices as required by applicable law (including the EU Digital Services Act, where it applies).
5. PRIVACY
- We process your personal data as an independent controller to provide you with access to the Platform, to secure, maintain and improve it, and to analyse how users use the Platform, as described in the GatherUs Privacy Policy at https://gatherus.today/legal/privacy-policy/.
- Each Organiser is a separate, independent controller of the personal data it collects about you in connection with its Event (for example, your registration answers). The Organiser’s own privacy notice applies to that processing, and requests concerning it are best directed to the Organiser. We are not responsible for Organisers’ processing of your personal data.
6. AVAILABILITY, CHANGES AND UPDATES
- We aim to keep the Platform available, but we do not promise uninterrupted or error-free operation. We may suspend the Platform temporarily for maintenance, security or technical reasons.
- We may change, improve or discontinue features of the Platform. If you are a consumer in the EU/EEA, clause 10.3 applies to modifications.
- We may update these Terms. We will give you notice of material changes at least thirty (30) days in advance (for example by e-mail or in-Platform notice). If you do not agree to a change, you may stop using the Platform and delete your account at any time; your continued use after the change takes effect constitutes acceptance.
7. SUSPENSION AND TERMINATION
- You may stop using the Platform and delete your account at any time in your account settings or by contacting [support e-mail].
- We may suspend or terminate your access to the Platform (in whole or in part) if you materially breach these Terms, if we are required to do so by law, or if we discontinue the Platform. Unless the breach is serious or urgent (for example, security abuse or unlawful content), we will give you prior notice and an opportunity to remedy the breach.
- An Organiser removing you from its Event, or declining to admit you, does not by itself affect your GatherUs account or your access to other Events; equally, our suspension of your account for a breach of these Terms may prevent you from participating in Events on the Platform.
8. WARRANTIES AND LIABILITY
- The Platform is provided free of charge. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE”, AND WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. THIS CLAUSE DOES NOT LIMIT ANY NON-WAIVABLE RIGHTS YOU HAVE AS A CONSUMER, AND FOR EU/EEA CONSUMERS SECTION 10 PREVAILS OVER IT.
- TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE ARE NOT LIABLE FOR: (A) EVENTS, THEIR CONTENT, CANCELLATION OR CONDUCT, OR ORGANISERS’ ACTS, OMISSIONS OR DECISIONS; (B) THE ACTS OR CONTENT OF OTHER USERS; (C) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, GOODWILL OR DATA; AND (D) IN AGGREGATE, AMOUNTS EXCEEDING ONE HUNDRED US DOLLARS (USD 100) OR THE MINIMUM AMOUNT PERMITTED BY APPLICABLE LAW, WHICHEVER IS GREATER.
- Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or wilful misconduct, or for any other liability that cannot be excluded or limited under applicable law.
9. GOVERNING LAW AND DISPUTES
- If you reside in the European Economic Area, the United Kingdom or Switzerland (your contract is with CIC NL Operations B.V.): these Terms are governed by Dutch law, and disputes may be brought before the courts of Amsterdam, the Netherlands. However, if you are a consumer, you additionally benefit from any mandatory provisions of the law of your country of residence, nothing in this clause deprives you of the protection of those provisions, and you may bring proceedings — and may be sued — only in the courts of your country of residence where consumer protection law so provides.
- If you reside anywhere else (your contract is with CIC Venture Cafe Global Institute, Inc.): these Terms are governed by the laws of the Commonwealth of Massachusetts (US), and disputes shall be submitted to the courts located in Boston, Massachusetts, save that mandatory consumer protections of your place of residence remain unaffected where they apply.
10. ADDITIONAL PROVISIONS FOR EU/EEA CONSUMERS
- Right of withdrawal. You may withdraw from this contract within fourteen (14) days of concluding it (i.e., of accepting these Terms), without giving any reason. The simplest way to withdraw is to delete your account in your account settings; you may also withdraw by any other unambiguous statement to [contact e-mail]. Because no price is paid, withdrawal simply means your contract ends and your account is closed.
- Conformity. We must provide the Platform in conformity with the contract and with the objective requirements of Directive (EU) 2019/770, including supplying updates necessary to keep the Platform in conformity. If the Platform is not in conformity, you are entitled to the remedies provided by the laws of your country of residence implementing that Directive (having the Platform brought into conformity or, where applicable, termination).
- Modifications. We may modify the Platform beyond what is necessary to maintain conformity only for the valid reasons stated in these Terms (product improvement, security, legal compliance), without additional cost to you and with clear advance notice. If a modification negatively impacts your access to or use of the Platform more than insignificantly, you may terminate the contract free of charge within thirty (30) days of the notice or of the modification, whichever is later.
- Legal guarantee and complaints. You benefit from the legal guarantee of conformity for digital services. Complaints may be addressed to [contact e-mail]. This Section prevails over any conflicting clause of these Terms for consumers in the EU/EEA.
11. GENERAL
- We may assign these Terms to an affiliate or in connection with a merger, acquisition or sale of assets; you will be notified and, if you object, you may terminate by deleting your account. You may not assign these Terms.
- If any provision of these Terms is held invalid, the remainder stays in effect, and the invalid provision is replaced by a valid one that best reflects its intent.
- These Terms (together with the Privacy Policy) are the entire agreement between you and GatherUs regarding the Platform. They are concluded in English; translations are for convenience only. [If a local language version is mandatory in a target market, provide a certified translation.]
